
LEGAL NOTICE; INCORPORATION BY REFERENCE; ELECTRONIC ACCEPTANCE
This Legal Notice (the “Notice”) is incorporated by reference into, and shall be read together with, the Aurimens Academy Terms of Use/Service, Refund & Guarantee Addendum, Code of Conduct, Privacy Policy, and Cookie Notice (collectively, the “Terms”), as updated from time to time. By accessing, browsing, registering, submitting forms, exchanging messages, booking sessions, making payments, using any learning tool, or otherwise using any Aurimens website, subdomain, landing page, communication channel (including WhatsApp Business), scheduling tool, LMS, or service (collectively, the “Platform”), each user (including any student, parent/guardian, corporate client, instructor, visitor, or representative) acknowledges and agrees to be bound by the Terms, including the limitations of liability, indemnities, and dispute provisions herein, to the maximum extent permitted by applicable law, and acknowledges that consent may be captured electronically (including via checkbox, clickwrap, or continued use).
1) PLATFORM CHARACTER; COORDINATION/INTERMEDIARY FUNCTION; NO REGULATED CREDENTIALS OR ADVICE. Aurimens Academy (“Aurimens,” “we,” “us,” “our”) provides a private, non‑regulated coordination and expert coaching environment for English language development and exam preparation (including IELTS, CELPIP, TOEFL, Cambridge and related competencies). Aurimens does not confer government‑issued degrees, regulated professional licences, accredited diplomas, or any statutory credential; nor does Aurimens provide legal, tax, or immigration advice, and no statement on the Platform shall be construed as such. Any references to “programme,” “level,” “module,” “standard,” “results,” “outcomes,” “guarantee,” “fluency,” “CEFR,” or “TBLT” are defined exclusively by the Terms and applicable addenda, and are informational/operational in nature rather than representations of accreditation.
2) PAYMENTS; AUTHORIZED CHANNELS ONLY; ABSOLUTE PROHIBITION ON OFF‑PLATFORM PAYMENTS; ECUADOR LIAISON. All fees, deposits, and charges must be paid only through Aurimens‑authorized channels designated at the time of payment, including (as applicable) Wix Payments and/or Wix checkout flows, Stripe, PayPal, Remitly, and/or an Aurimens‑authorized Academic Advisor/liaison in Ecuador acting within defined authority (the “Authorized Payment Channels”). Users and instructors are strictly prohibited from requesting, offering, soliciting, accepting, making, or arranging any direct payment, consideration, commission, gratuity, “cash,” bank transfer, external link, crypto, or any off‑Platform transaction for any service introduced, scheduled, coordinated, or facilitated through Aurimens. Any attempt to circumvent Authorized Payment Channels constitutes a material breach and may result in immediate suspension/termination, cancellation of services, forfeiture of access, and removal from the Platform, without prejudice to any other remedies. Any off‑Platform transaction is undertaken solely at the user’s risk, and voids any Aurimens guarantee, refund accommodation, dispute support, or quality assurance process.
3) INSTRUCTORS; NO EMPLOYMENT PRESUMPTION; ALLOCATION OF RESPONSIBILITY. Unless expressly set out in a separate signed written agreement, instructors providing sessions through Aurimens act as independent service providers and are not employees, agents, fiduciaries, or partners of Aurimens, and no employment relationship is created by use of the Platform. Aurimens may set programme structures, quality standards, communications protocols, safety rules, and operational requirements for Platform integrity; however, instructors retain responsibility for pedagogical delivery within the Aurimens framework. Aurimens may reassign instructors, adjust scheduling, or substitute instructors for quality, availability, safety, conflict, or operational continuity.
4) METHODOLOGY; CEFR/TBLT REFERENCES; NO ABSOLUTE TIMELINES; STUDENT DUTY OF EFFORT. Aurimens programmes may reference CEFR (A0–C2) descriptors and task‑based language teaching principles as organisational and evaluative frameworks; such references do not constitute accreditation claims. Any timeframes (including “12–24 months” or similar) are good‑faith estimates contingent on verified attendance, participation, independent practice, homework completion, learner variables, and stated goals; progression is competency‑based and may be accelerated or delayed depending on objective performance evidence. Aurimens disclaims any unconditional promise of timeframe, score, admission, visa outcome, employment outcome, or third‑party decision.
5) GUARANTEES; REFUNDS; EVIDENCE; AUDITABILITY; NO ORAL MODIFICATIONS. Any “fluency or refund,” “results,” “money‑back,” or similar representation is strictly conditional, governed solely by the written Guarantee Addendum and Refund Policy, and is not triggered unless all stated preconditions are satisfied, which may include (without limitation) minimum paid percentage, minimum attendance thresholds (e.g., 85% or higher as specified), completion of assigned work, active participation, adherence to conduct rules, and strict compliance with Authorized Payment Channels. Aurimens may require documentary proof (including attendance logs, homework submissions, assessment artefacts, instructor records, Platform metadata, and internal rubric evaluations). No salesperson, instructor, advisor, or representative has authority to alter guarantees/refunds except through a written addendum issued by Aurimens; users may not rely on oral statements or informal messages as modifications.
6) CODE OF CONDUCT; SAFETY; MINORS; ENFORCEMENT DISCRETION. Aurimens prohibits harassment, discrimination, abuse, exploitation, inappropriate relationships, solicitation, doxxing, threats, sexually explicit content, off‑Platform “poaching,” or any conduct compromising safety or service integrity. For minors, verified parental/guardian consent is required and Aurimens may impose additional safeguards, restricted communications, and monitoring consistent with applicable privacy principles. Aurimens reserves discretion to investigate complaints, preserve logs, reassign instructors, suspend accounts, terminate access, and cooperate with lawful authorities as required.
7) PRIVACY; DATA CONTROLLER; THIRD‑PARTY PROCESSORS; CROSS‑BORDER TRANSFERS; CANADA + ECUADOR PRINCIPLES. Aurimens acts as a data controller with respect to personal information collected via the Platform, including forms, scheduling, communications tools, learning systems, and payment coordination. Aurimens processes personal data for service delivery, scheduling, payment administration, quality assurance, dispute handling, fraud prevention, compliance, and aggregated/anonymous analytics where feasible. Data may be processed and stored in multiple jurisdictions using reputable third‑party processors under contractual safeguards; users may request access, correction, and (where applicable) deletion, subject to lawful retention. For Ecuador, Aurimens adheres to the principles and rights framework of the Ley Orgánica de Protección de Datos Personales (LOPDP). For Canada, Aurimens follows safeguarding and meaningful‑consent principles consistent with PIPEDA and guidance of the Office of the Privacy Commissioner of Canada.
8) COOKIES; CONSENT; WIX/GOOGLE/META DEPENDENCY; NO PROPRIETARY TRACKING. The Platform uses cookies and similar technologies exclusively through standard capabilities provided by Wix.com Ltd. (site infrastructure and cookie controls) and, where enabled, third‑party measurement tools commonly used in industry (including Google Analytics and Meta Pixel) within the native configurations those services permit. Essential cookies are used solely for core functionality, session continuity, security, and fraud prevention. Non‑essential cookies (analytics/marketing) shall be deployed only after the user provides consent via the Wix cookie banner/preferences mechanism, and may be modified or withdrawn at any time via cookie settings or browser controls. Aurimens does not deploy bespoke/proprietary tracking beyond these standard integrations, and does not guarantee the availability, behaviour, or uninterrupted operation of third‑party cookies/services, which remain subject to the providers’ terms and technical constraints. (Meaningful consent standard under Canadian practice is observed for non‑essential tracking.)
9) DISCLAIMERS OF WARRANTIES; “AS IS”; NO RELIANCE. To the maximum extent permitted by law, the Platform and services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind (express, implied, statutory), including merchantability, fitness for a particular purpose, non‑infringement, uninterrupted availability, or error‑free operation. Users acknowledge that language learning outcomes are inherently variable and dependent on learner effort and context, and agree not to rely on any representation not expressly set out in the Terms.
10) LIMITATION OF LIABILITY; EXCLUSION OF CONSEQUENTIAL DAMAGES; AGGREGATE CAP. To the maximum extent permitted by applicable law, Aurimens shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost opportunities, reputational harm, loss of data, immigration outcomes, admission outcomes, employment outcomes, or third‑party decisions, arising from or related to use of the Platform, services, or instructor‑student interactions. Aurimens’ total aggregate liability for any claim arising from or relating to the service shall not exceed the total amount actually paid to Aurimens for the specific programme period giving rise to the claim. Where certain limitations are not permitted, liability shall be limited to the fullest extent permitted in the relevant jurisdiction.
11) INDEMNITY. User agrees to indemnify, defend, and hold harmless Aurimens and its affiliates, directors, officers, contractors, and representatives from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (i) user’s breach of the Terms, (ii) off‑Platform payment or solicitation, (iii) unlawful conduct, (iv) infringement of third‑party rights, or (v) misuse of materials, recordings, or Platform access.
12) GOVERNING LAW; CONSUMER RIGHTS; SEVERABILITY. These Terms shall be governed by and construed in accordance with the laws applicable to the user’s contracting entity and residence, which may include Ecuadorian law (including consumer protections under the Ley Orgánica de Defensa del Consumidor) and Ontario/Canadian law (including the Consumer Protection Act, 2002), without waiving non‑excludable statutory rights. Any venue/jurisdiction language is subject to mandatory consumer protection rules and shall not override non‑waivable rights. If any provision is held unenforceable, the remainder shall remain in full force to the maximum extent permitted.

Aurimens Academy (“Aurimens”) es un servicio privado de coaching lingüístico y coordinación académica que organiza programas de aprendizaje de inglés y preparación para exámenes internacionales (incluyendo IELTS, CELPIP, TOEFL y Cambridge) mediante una red de instructores seleccionados y un marco metodológico estandarizado. Aurimens no es una institución educativa acreditada, no otorga títulos oficiales, grados universitarios ni certificaciones gubernamentales, y no presta asesoría migratoria, legal o fiscal. El servicio ofrecido consiste en un proceso de aprendizaje estructurado, supervisado y evaluado por desempeño.
Nuestros programas se estructuran conforme al Marco Común Europeo de Referencia para las Lenguas (CEFR A0–C2), utilizado como marco internacional de referencia para diagnóstico, progresión y evaluación, y aplican un enfoque de aprendizaje basado en tareas (Task‑Based Language Teaching, TBLT), priorizando la producción oral y escrita, la retroalimentación continua y la evaluación mediante rúbricas de desempeño (incluyendo criterios comparables a exámenes internacionales). La progresión se organiza en módulos de duración aproximada de 8 a 12 semanas, y el avance entre módulos depende exclusivamente de competencia demostrada, no del tiempo transcurrido.
Los plazos de aprendizaje indicados por Aurimens son referenciales y no absolutos. En condiciones normales, un recorrido completo desde niveles iniciales hasta niveles avanzados puede tomar entre 12 y 24 meses, dependiendo del nivel inicial del estudiante, la frecuencia de clases, la exposición real al idioma, el cumplimiento del plan académico y las necesidades específicas del estudiante (académicas, profesionales o migratorias). El estudiante reconoce expresamente que el aprendizaje del idioma es un proceso variable y que los resultados dependen de su participación activa y constante.
Para maximizar resultados, el estudiante acepta que el progreso requiere no solo la asistencia a clases, sino también estudio personal guiado. Como estándar general, Aurimens recomienda un mínimo de 3–5 horas semanales de práctica individual en niveles A0–A2, 4–7 horas semanales en niveles B1–B2 y 5–8 horas semanales en niveles C1–C2, ajustables según objetivos específicos. Aurimens podrá exigir un diagnóstico obligatorio previo al inicio del programa; la omisión, falsedad o negativa a realizar dicho diagnóstico faculta a Aurimens a suspender el inicio o reubicar al estudiante en el nivel que objetivamente corresponda, sin que ello constituya incumplimiento contractual.
Pagos. Todos los pagos deben realizarse exclusivamente a través de los canales oficiales de Aurimens. En Ecuador, el pago podrá gestionarse directamente con el Academic Advisor / liaison autorizado por Aurimens, quien emitirá la confirmación correspondiente. Queda estrictamente prohibido realizar pagos directos a instructores o aceptar solicitudes de pago fuera de los canales oficiales. Cualquier intento de pago externo anula automáticamente cualquier garantía, reembolso o mecanismo de soporte.
Garantía condicional. Cualquier garantía publicitada por Aurimens, incluyendo expresiones como “fluidez o reembolso”, es estrictamente condicional y existe como un mecanismo de alineación de intereses entre estudiante, instructor y Aurimens. La garantía solo será aplicable cuando el estudiante demuestre, de manera verificable y documentada, el cumplimiento integral de sus obligaciones académicas, incluyendo asistencia mínima (generalmente no inferior al 85%, o la que se indique en el contrato específico), participación activa en clase, realización de tareas asignadas y práctica recomendada. La evaluación del cumplimiento y del nivel alcanzado se realizará conforme a criterios objetivos alineados al CEFR y a las rúbricas internas del programa. La garantía no aplica en casos de ausencias, falta de práctica, cambios de objetivo, interrupciones prolongadas, incumplimiento de políticas o pagos fuera de los canales oficiales.
Conducta y seguridad. Aurimens mantiene normas estrictas de conducta aplicables a estudiantes e instructores, prohibiendo acoso, discriminación, abuso, contenido inapropiado, captación fuera de la plataforma o cualquier conducta que comprometa la seguridad o la integridad del servicio. En el caso de menores de edad, se requiere consentimiento verificable del representante legal y se aplican reglas de comunicación reforzadas. Aurimens se reserva el derecho de reasignar, suspender o terminar el servicio ante incumplimientos.
Limitación esencial. Aurimens coordina, estandariza y supervisa el proceso académico; los resultados dependen del cumplimiento del plan por parte del estudiante y de la ejecución pedagógica dentro del marco acordado por parte del instructor. Aurimens no vende visados, cupos universitarios ni resultados garantizados, sino un proceso de aprendizaje serio, exigente, medible y supervisado.
Comprehensive Legal Disclaimer (Compliant with Ecuadorian and Canadian Consumer Protection Laws) for Aurimens Advanced English Exam Preparation Services
Aurimens Academy (“Aurimens”) is a private language‑coaching and academic‑coordination service that organizes English‑learning and international exam preparation programmes (including IELTS, CELPIP, TOEFL and Cambridge) through a curated network of instructors and a standardized methodological framework. Aurimens is not an accredited educational institution, does not award official degrees, government‑issued certificates or professional licences, and does not provide immigration, legal or tax advice. The service provided consists of a structured, supervised, performance‑based learning process.

The student expressly acknowledges that language acquisition outcomes vary and that results depend on consistent and active participation.
To maximize outcomes, the student agrees that progress requires not only attendance at classes but also guided independent study. As a general standard, Aurimens recommends a minimum of 3–5 hours per week of individual practice at A0–A2 levels, 4–7 hours per week at B1–B2 levels, and 5–8 hours per week at C1–C2 levels, subject to adjustment based on objectives. Aurimens may require a mandatory initial diagnostic; failure or refusal to complete such diagnostic entitles Aurimens to delay commencement or reassign the student to the objectively appropriate level without constituting breach.
Payments. All payments must be made exclusively through Aurimens’ official channels. In Ecuador, payments may be coordinated directly with an Aurimens‑authorized Academic Advisor/liaison, who will issue confirmation. Direct payments to instructors or requests for off‑platform payments are strictly prohibited and automatically void any guarantee, refund or support mechanism.
Conditional guarantee. Any guarantee advertised by Aurimens, including statements such as “fluency or refund,” is strictly conditional and exists to align the interests of the student, the instructor and Aurimens. The guarantee applies only where the student provides verifiable evidence of full academic compliance, including minimum attendance (generally no less than 85%, or as specified in the applicable contract), active participation, completion of assigned work and recommended practice. Achievement and compliance are assessed using objective CEFR‑aligned criteria and internal rubrics. The guarantee does not apply in cases of absenteeism, insufficient practice, goal changes, prolonged interruptions, policy breaches or off‑platform payments.
Conduct and safety. Aurimens enforces strict codes of conduct applicable to students and instructors, prohibiting harassment, discrimination, abuse, inappropriate content, off‑platform solicitation or any conduct compromising safety or service integrity. For minors, verified parental consent and enhanced communication safeguards apply. Aurimens may reassign, suspend or terminate services in case of violations.
Essential limitation. Aurimens coordinates, standardizes and supervises the academic process; outcomes depend on the student’s compliance with the programme and the instructor’s pedagogical execution within the agreed framework. Aurimens does not sell visas, university placements or guaranteed outcomes, but rather a serious, demanding, measurable and supervised learning process.
